These Terms & Conditions ("Terms") govern access to and use of the Qadiance website, the Qadiance Studio product ("Studio") and any services provided by Qadiance ("we", "us", "our"). By using our website, creating an account or engaging us for services, you agree to these Terms.

1. Who we are

Qadiance is operated by Osckar Chin-Yuen Chum, trading as Qadiance Co., Western Australia, Australia. Contact: [email protected].

2. The services

• Studio: an AI-assisted personal workspace with persistent memory, multiple underlying AI models and configurable agents/tools. Studio may route your requests to different third-party AI providers depending on availability, cost or capability. We do not guarantee a specific underlying model will handle any given request.
• Services: website design/build, software and related consulting delivered under a separate signed proposal or statement of work, which takes precedence over these Terms for the scope, timeline and price of that engagement.

3. Accounts

You must provide accurate information when creating an account and are responsible for activity under your credentials. Notify us promptly of any unauthorised use.

4. AI-generated content

Studio uses third-party and first-party AI models to generate content, suggestions and automated actions. AI output can be inaccurate, incomplete or unsuitable for a given purpose. You are responsible for reviewing and verifying anything Studio produces before relying on it, particularly for financial, legal, medical or safety-critical decisions. We do not warrant the accuracy of AI-generated output.

5. Persistent memory and your data

Studio stores information you provide to build persistent memory and personalise its behaviour. See our Privacy Policy for what is collected, how it's processed (including by third-party model providers), retention and your rights over that data, including deletion.

6. Billing

Studio is billed on a usage basis as described on our Pricing page at the time of purchase. Fees are non-refundable except where required by law or expressly stated at time of purchase. Services engagements are billed per the applicable signed proposal.

7. Acceptable use

You agree not to: use the services for unlawful purposes; attempt to extract, reverse-engineer or resell access to underlying models in violation of their providers' terms; use the services to generate content that is illegal, infringing or intended to harm others; or attempt to circumvent usage limits, security or access controls.

8. Intellectual property

You retain ownership of content you input into Studio. We retain ownership of the Qadiance platform, brand and underlying technology. Deliverables under a Services engagement transfer to the client per the terms of that engagement's proposal/contract.

9. Third-party AI providers

Studio relies on third-party AI infrastructure. Their availability, pricing and policies can change outside our control, which may affect Studio's functionality. We will make reasonable efforts to maintain service continuity, including model fallback, but do not guarantee uninterrupted access to any specific provider or model.

10. Disclaimers and limitation of liability

The services are provided "as is" without warranties of any kind, express or implied, to the maximum extent permitted by law. To the maximum extent permitted by law,Qadiance is not liable for indirect, incidental or consequential damages arising from use of the services and our total liability for any claim is limited to the amount you paid us in the twelve months preceding the claim.

11. Termination

We may suspend or terminate access for breach of these Terms. You may stop using Studio and close your account at any time; see the Privacy Policy for how your data is handled after closure.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via the website or, for account holders, via email. Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of Western Australia, Australia, without regard to conflict of law principles.
